END USER LICENSE AGREEMENT:

END USER LICENSE AGREEMENT:

1. GRANT OF LICENSE.

Subject to the terms and provisions of this End User License Agreement, Scarsoft hereby grants to you the non-exclusive, non-transferable, limited right to use the Software Program and any related documents. The Software Program is Eeppo.

Whether you are licensing the software program as an individual or on behalf of an entity, you may not:

(i) reverse engineer, decompile, disassemble the Software Program, derive source code, attempt to discover the source code or any data associated with the Software Program;

(ii) modify, or create derivative works based upon, the Software Program in whole or in part;

(iii) distribute the Software Program and any related documents to others without first obtaining the required licenses, where applicable;

(iv) remove any proprietary notices, labels or any other parts of the Software Program;

(v) sell, lease, rent, transfer, sublicense, assign, encumber, pledge or otherwise transfer the Software Program without the express written consent of Scarsoft.

1.1 DEMO VERSION LICENSE

Under this license, you may:

(i) install and use the Demo Software Program on any computers for anyone;

(ii) distribute the Demo Software program freely;

(iii) obtain a license to change the Demo Software Program into the Registered Full Release Software Program;

1.2 REGISTERED VERSION LICENSE

Under this license, you may:

(i) install and use the Registered Software Program and any related documents on a single computer for your personal use;

(ii) copy the Registered Software Program and any related documents for back-up or archival purposes;

2. OWNERSHIP

Scarsoft owns title, ownership rights, and intellectual property rights in and to the Software Program and all copies thereof. The Software Program is protected by the Australian copyright laws, international copyright treaties, and conventions and other laws. All rights are reserved.

3. DISCLAIMER OF WARRANTY:

YOU AGREE THAT SCARSOFT HAS MADE NO EXPRESS WARRANTIES, ORAL OR WRITTEN, TO YOU REGARDING THE PRODUCTS AND THAT THE PRODUCTS ARE BEING PROVIDED TO YOU 'AS IS' WITHOUT WARRANTY OF ANY KIND.

SCARSOFT DISCLAIMS ANY AND ALL OTHER WARRANTIES, WHETHER EXPRESSED, IMPLIED, OR STATUTORY. YOU ASSUME THE ENTIRE RISK ARISING OUT OF THE USE OR PERFORMANCE OF THE SOFTWARE PROGRAM AND RELATED DOCUMENTATION. SHOULD THE SOFTWARE PROGRAM PROVE DEFECTIVE, YOU ASSUME THE ENTIRE COST OF ALL NECESSARY REPAIR OR CORRECTION.

SCARSOFT SHALL NOT BE RESPONSIBLE FOR ANY DEFECT THAT RESULTS FROM YOUR ABUSE, MISUSE OR OTHER CONDUCT OR

CONDITIONS OUTSIDE THE CONTROL OF SCARSOFT.

SCARSOFT MAKES NO REPRESENTATION OR WARRANTY THAT THE INFORMATION OR FUNCTIONS CONTAINED IN THE SOFTWARE PROGRAM WILL MEET YOUR REQUIREMENTS OR THAT THE OPERATION OF THE SOFTWARE WILL BE UNINTERRUPTED, ERROR-FREE, OR THAT ANY SOFTWARE DEFECTS ARE CORRECTABLE OR WILL BE CORRECTED.

4. LIMITATION OF LIABILITY:

SCARSOFT SHALL NOT BE LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, COVER, RELIANCE, OR CONSEQUENTIAL DAMAGES FROM THE USE OF THE SOFTWARE PROGRAM AND RELATED DOCUMENTS.

EVEN IF SCARSOFT HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES. IN NO EVENT WILL SCARSOFT BE LIABLE FOR ANY CLAIM, WHETHER IN CONTRACT, TORT, OR ANY OTHER THEORIES OF LIABILITY, EXCEED THE COST OF THE SOFTWARE. THIS LIMITATION SHALL APPLY TO CLAIMS OF PERSONAL INJURY OR ANY OTHER SUCH CLAIMS TO THE EXTENT PERMITTED BY LAW.

5. TERMINATION:

This Agreement shall terminate automatically if you fail to comply with the limitations described in this End User License Agreement. No notice shall be required from Scarsoft to effectuate such termination. Upon termination, you agree to destroy all copies of the Software Program and related documentation.

6. MISCELLANEOUS:

Neither this End User License Agreement nor any part or portion hereof shall be assigned or sublicensed by you. Scarsoft may assign its rights under this End User License Agreement in Scarsoft's sole discretion. Should any provision of this End User License Agreement be held to be void, invalid, unenforceable or illegal by a court, the validity of the other provisions shall not be affected thereby. If any provision is determined to be unenforceable, you agree to a modification of such provision to provide for enforcement of the provision's intent, to the extent permitted by applicable law. Failure of Scarsoft to enforce any provision of this End User License Agreement shall not constitute or be construed as a waiver of such provision or of the right to enforce such provision.

You agree that in the event of litigation relating to this License Agreement, the prevailing litigant shall be entitled to recover the prevailing litigant's attorneys' fees and expenses and costs of court in addition to all other relief available under this End User License Agreement and/or applicable law.

This End User License Agreement is the complete and exclusive statement of the agreement between Scarsoft and relevant parties and that the End User License Agreement supersedes any prior or contemporaneous agreement, either oral or written, and any other communications between Scarsoft and relevant parties.

I hereby acknowledge that I have read and understand the foregoing End User License Agreement and agree that the action of installing the Software Program is an acknowledgment of my agreement to be bound by the terms and conditions of the End User License Agreement contained herein. I also acknowledge and agree that this End User License Agreement is the complete and exclusive statement of the agreement between Scarsoft and me and that the End User License Agreement supersedes any prior or contemporaneous agreement, either oral or written, and any other communications between Scarsoft and me.
